Overview
This website is operated by MFB LLC ("PrimeGreenhouses," "we," "us," or "our"). Throughout the site, these terms refer to the company. We offer this website, including all information, tools, and services made available to you, conditioned upon your acceptance of the terms, conditions, policies, and notices stated here.
By visiting primegreenhouses.com or purchasing from us, you engage in our "Service" and agree to be bound by these Terms of Service (the "Terms"), including any additional policies referenced herein or available by hyperlink. These Terms apply to all users of the site, including browsers, customers, and contributors of content.
Please read these Terms carefully before using the site. If you do not agree to all of them, you may not access the site or use any of our Services.
Section 20 contains a binding arbitration agreement and a class action waiver. It affects your legal rights. Please read it in full.
We reserve the right to update, change, or replace any part of these Terms by posting a revision to this page. Continued use of the site after any change constitutes acceptance of that change. The version in effect at the time you place an order governs that order.
Our store is hosted on Shopify Inc.
1. Eligibility
By using this site, you represent that you are at least the age of majority in your state or province of residence, or that you have given us your consent to allow any minor dependent to use this site.
You may not use our products for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You may not transmit any worms, viruses, or code of a destructive nature.
A breach of any of these Terms results in immediate termination of your Services.
2. Products
We sell polycarbonate and glass garden greenhouses and related accessories.
We make every effort to display product colors, dimensions, and images as accurately as possible. We cannot guarantee that your monitor's display will be accurate, and minor variations in finish or shade between the images shown and the item delivered are not defects.
All products are subject to availability. We reserve the right to limit the quantities of any product we offer, to limit sales to any person, geographic region, or jurisdiction, and to discontinue any product at any time. Any offer for any product made on this site is void where prohibited.
Product descriptions and specifications are subject to change at any time without notice, at our sole discretion.
3. Pricing
All prices are listed in U.S. dollars and exclude applicable sales tax. Shipping is free within the contiguous United States, subject to the terms stated in our Shipping Policy.
4. Orders and Acceptance
Your submission of an order constitutes an offer to purchase. Our order confirmation email is an acknowledgment of receipt, not an acceptance. The contract is formed only when we ship the product.
We reserve the right to refuse or cancel any order for any reason, including but not limited to: suspected fraud, payment authorization failure, pricing or description errors, inventory unavailability, or orders that appear to be placed by dealers, resellers, or distributors. We may limit or cancel quantities purchased per person, per household, or per order.
You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to promptly update your account and other information, including your email address, credit card numbers, and expiration dates, so that we can complete your transactions and contact you as needed.
5. Payment
Payment is processed at checkout through our third-party payment processors. We do not store full payment card data on our servers.
You represent that you are authorized to use the payment method you provide. Orders are processed only after payment is successfully authorized and captured.
6. Shipping, Title, and Risk of Loss
Shipping terms, carriers, and estimated transit times are described on our Shipping Policy page. Delivery estimates are estimates only and are not guaranteed.
Because of the size and weight of greenhouse shipments, most orders ship via freight carrier and are delivered curbside. Unless otherwise stated, delivery does not include inside placement, unpacking, or assembly. It is your responsibility to arrange for someone to be present to receive and unload the shipment.
Title and risk of loss pass to you upon our delivery of the goods to the carrier.
Inspection at delivery. You must inspect all pallets and cartons in the presence of the driver. If there is any visible damage or shortage, note it in detail on the delivery receipt before signing, and photograph the shipment. Signing a clean delivery receipt may limit or eliminate your ability to make a freight damage claim. Report any damage or shortage to us within 48 hours of delivery, with photographs.
We are not liable for delays caused by carriers, weather, customs, or other events outside our reasonable control.
7. Returns, Refunds, and Cancellations
All returns are governed by our Return & Refund Policy, available here: Refund policy, which is incorporated into these Terms by reference.
In summary, and subject to that policy: returns must be requested within 30 days of delivery; items must be unassembled, unused, and in their original packaging; and return freight is the customer's responsibility unless the item arrived damaged or was shipped in error.
Assembled, modified, or installed greenhouses cannot be returned.
8. Warranty and Disclaimer
Any manufacturer's limited warranty applicable to a product is described on the relevant product page and is provided by the manufacturer, not by us. We will assist you in submitting a warranty claim where applicable.
Warranty coverage does not extend to: normal wear; damage from improper assembly, inadequate anchoring, or failure to follow the assembly manual; damage from wind, hail, snow load, or other weather events exceeding the product's rated capacity; damage from modification of the product; or damage from improper site preparation.
EXCEPT AS EXPRESSLY STATED, THE SERVICE AND ALL PRODUCTS DELIVERED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that results obtained from its use will be accurate or reliable.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MFB LLC, ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR REPLACEMENT COSTS, ARISING OUT OF YOUR USE OF THE SERVICE OR ANY PRODUCT PROCURED THROUGH IT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; in such jurisdictions our liability is limited to the greatest extent permitted by law.
10. Assembly and Site Safety
Greenhouses are supplied as unassembled kits. You are solely responsible for assembling the product in accordance with the manufacturer's instructions, for anchoring it to an appropriate foundation, and for complying with any local building codes, permits, HOA rules, and zoning restrictions applicable to your property.
You are responsible for verifying that the product's rated wind and snow load capacities are adequate for your location.
We assume no liability for personal injury or property damage resulting from assembly, installation, anchoring, or use of the product.
11. Indemnification
You agree to indemnify, defend, and hold harmless MFB LLC and our parent, subsidiaries, affiliates, partners, officers, members, managers, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or of any law or the rights of a third party.
12. Intellectual Property
All content on this site — including our trademarks, logo, text, product copy, photographs, graphics, layout, and code — is our property or the property of our licensors, and is protected by United States and international intellectual property law.
You agree not to reproduce, duplicate, copy, sell, resell, scrape, or exploit any portion of the Service without our express written permission.
13. User Submissions
If you send us reviews, ideas, suggestions, proposals, photographs, or other materials ("Submissions"), you agree that we may at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use them in any medium. We are under no obligation to maintain any Submission in confidence, to pay compensation for it, or to respond to it.
You agree that your Submissions do not violate any right of any third party and contain no unlawful, defamatory, obscene, or otherwise objectionable material, and no malicious code. You may not use a false email address or impersonate anyone. You are solely responsible for your Submissions and their accuracy.
We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion to be objectionable.
14. Third-Party Links and Tools
We may provide access to third-party tools and links to third-party websites over which we have no control. These are provided "as is" and "as available" without any warranties or endorsement. We are not liable for any harm or damages related to your use of third-party goods, services, resources, content, or transactions. Please review the third party's policies and practices before engaging with them.
15. Accuracy of Information
We are not responsible if information made available on this site is not accurate, complete, or current. Content is provided for general information only and should not be relied upon as the sole basis for making decisions.
Occasionally there may be information on our site that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any such error and to change or update information or cancel orders at any time without prior notice, including after you have submitted your order.
16. Modifications to the Service and Prices
We reserve the right at any time to modify or discontinue the Service, or any part or content thereof, without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.
17. Privacy
Your submission of personal information through the store is governed by our Privacy Policy: Privacy policy, incorporated into these Terms by reference.
18. Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive termination of this agreement for all purposes.
These Terms are effective unless and until terminated by either you or us. You may terminate at any time by notifying us that you no longer wish to use our Services, or by ceasing to use our site. If in our sole judgment you fail to comply with any term of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
19. Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, severe weather, war, terrorism, labor disputes, carrier delays, supply chain disruption, pandemics, or government action.
20. Governing Law, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES.
20.1 Governing law. These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
20.2 Informal resolution. Before initiating arbitration, you agree to first contact us at support@primegreenhouses.com with a written description of the dispute and to attempt in good faith to resolve it informally for a period of 30 days.
20.3 Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any product purchased from us shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this provision. Arbitration shall take place in Broward County, Florida, or, at your election, may be conducted by telephone, video, or on written submissions. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
20.4 Class action waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
20.5 Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect its intellectual property rights.
20.6 Opt-out. You may opt out of this arbitration agreement by sending written notice to support@primegreenhouses.com within 30 days of your first purchase, stating your name, order number, and your intent to opt out. Opting out will not affect any other provision of these Terms.
20.7 Jury trial waiver. To the extent any dispute proceeds in court rather than arbitration, both parties knowingly and voluntarily waive any right to a trial by jury.
20.8 Time limit. Any claim must be brought within one (1) year after the cause of action accrues, or it is permanently barred, to the extent permitted by applicable law.
21. Severability and Waiver
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed, without affecting the validity and enforceability of the remaining provisions.
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
22. Entire Agreement
These Terms, together with any policies or operating rules posted by us on this site, constitute the entire agreement between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written.
Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
